The Executive Board are the Trustees and Company Directors of the Institution. The Executive Board is made up of the President, 3 Vice Presidents, Immediate Past President, Honorary Treasurer and up to eight Council Members (usually the six Board Chairs)
As Trustees, the Executive Board must ensure that the affairs of the Institution are kept in good order, and legal and statutory obligations are fulfilled. They are responsible for controlling the management and the administration of the Institution and, if negligent, are personally liable. As the Institution is a company limited by guarantee, the Executive Board are also Company Directors. Every Company Director has a personal responsibility to ensure that statutory documents for example the Annual Report and Accounts, are produced and submitted on time to Companies House.
The Board's single most important task is the Corporate Plan, which sets out the Institution's objectives for the next five years and how they will be attained. At every meeting, progress against the Action Plan is reviewed. Each year, under the guidance of the Senior Vice President, the Action Plan is updated and endorsed. The Executive Board is also responsible for drawing up annually detailed Revenue and Capital budgets for the coming year and outline budgets for the four years beyond this. At each meeting, progress against budget is monitored and action initiated as required.

Executive Board news
The Executive Board last met on 23 January 08. The Board approved the Action Plan for 2008 and a new reporting arrangement for Boards based on a regular report and update on each of the Board’s business plans. The Board agreed the terms of reference for the new IHT Foundation management committee and a nomination for the Institution Award.
The Board Considered the findings of the Young members survey and agreed to ask the new young members forum to take a leading role. They also agreed a conflicts of interest policy for Trustees, and recommended this be adopted by all Council members.
Progress reports were received on the Royal Charter, the project linked to the next Presidential Conference, press and media coverage, arrangements for launching the new transport planner qualification and the progress of consultation on the Corporate Plan.
